Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) form a binding agreement between you (the “Customer”, “you”) and Talki Inc. (“Talki”, “we”, “us”) governing your access to and use of the Talki website, dashboard, embeddable chat widget, APIs, and related services (together, the “Service”). By creating an account, embedding the widget, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it.

2. The Service

Talki is a customer-support helpdesk that unifies conversations across channels (web chat widget, email, and Telegram) into a shared inbox, with optional AI-assisted replies and analytics. We may add, change, or remove features over time. We do not guarantee that any particular feature will remain available.

3. Accounts & eligibility

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for safeguarding your credentials. You must be at least 18 years old (or the age of majority in your jurisdiction) and not barred from using the Service under applicable law or sanctions programs.

4. Acceptable use

You agree not to, and not to permit others to:

  • use the Service to send spam, harass, or distribute unlawful, infringing, or malicious content;
  • attempt to access accounts, data, or systems you are not authorized to access;
  • reverse engineer, resell, or build a competing service from the Service except as permitted by law;
  • upload malware or interfere with the integrity or performance of the Service;
  • use the Service in violation of export controls, sanctions, or privacy laws.

We may suspend or terminate access for violations, with or without notice where the law allows.

5. Customer data & end users

You retain ownership of the content and personal data you and your end users submit through the Service (“Customer Data”). You grant Talki a worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide and improve the Service. You are responsible for obtaining any consents and providing any notices required to collect and process end-user data through Talki, and for the lawfulness of your use of the Service. Our handling of personal data is described in our Privacy Policy.

6. Plans, fees & billing

Paid plans, free trials, recurring billing, renewals, taxes, and crypto payments are described at checkout and on your billing screen. Subscriptions renew automatically each billing period at the then-current rate until cancelled. Refund eligibility is governed by our Refund Policy and applicable law. Card payments are processed by Stripe; Talki does not store full card numbers on its own servers.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by Talki and its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.

8. Third-party services

The Service integrates with third parties (e.g. Stripe, Telegram, email providers, and AI providers). Your use of those services is subject to their own terms, and Talki is not responsible for third-party services or content.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure. AI-generated suggestions may be inaccurate; you are responsible for reviewing them before use.

10. Limitation of liability

To the maximum extent permitted by law, Talki will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Talki’s total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Talki for the Service in the 12 months before the event giving rise to liability, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold Talki harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms, to the extent permitted by law.

12. Term & termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive (e.g. ownership, disclaimers, limitation of liability) will survive.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g. by email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws applicable at Talki’s principal place of business, without regard to conflict-of-law rules, except where mandatory consumer-protection laws of your jurisdiction provide otherwise. The courts of that location will have exclusive jurisdiction, subject to any mandatory rights you have as a consumer.
